Terms of Service

1. Agreement

These Terms of Service (“Terms”) govern your access to and use of the Ubuntu AI Studio website at ubuntu.lagosnomad.com (the “Site”) and the AI conversation automation, lead capture, and sales services we provide (the “Service”). By using the Site or Service, or by booking a demo, you agree to these Terms. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business.

2. The Service

Ubuntu AI Studio automates conversations and sales by connecting your channels (such as WhatsApp, Instagram, X, email, and contact forms), training an AI on your business information and tone, and operating that AI to reply, qualify, and follow up on your behalf. We help you connect channels, train your AI, and go live. The Service may be delivered directly by us or with the help of third-party providers.

3. The 7-day demo

We offer a 7-day demo so you can evaluate the Service with your real channels and data. The demo is free of charge, requires no commitment or credit card, and is provided for evaluation purposes. During the demo we may connect your channels and train a demo AI on information you provide.

4. Accounts and connected channels

• You are responsible for keeping your account credentials secure and for the activity on your account.
• You are responsible for ensuring you have the right to connect the channels and accounts you authorise, and that connecting them does not violate any applicable platform terms.
• Access to connected channels may be revoked by you at any time through your account or the relevant platform.

5. Fees, billing, and payment

Pricing is quoted on a case-by-case basis and typically consists of a one-time onboarding fee and a monthly retainer, calculated from drivers such as the number of channels, message volume, and training/support level. Quotes may be provided in USD, NGN, or KES as agreed. Fees are payable as stated on your invoice; if you are on a recurring plan, we will bill you until the plan is cancelled. Late payments may result in suspension of the Service. We may change pricing by giving you reasonable notice; pricing changes take effect at the start of the next billing period.

6. AI-generated content

The Service uses AI to generate responses on your channels. AI outputs are automated and may occasionally be inaccurate, incomplete, or inappropriate. You are responsible for:

• reviewing and supervising automated responses where accuracy matters, such as orders, payments, bookings, or legal commitments;
• ensuring responses comply with applicable laws and platform policies; and
• providing accurate training information so the AI can represent you correctly.

We do not guarantee that the Service will produce particular business outcomes, such as a specific number of leads, orders, or sales.

7. Your responsibilities and acceptable use

You agree not to use the Site or Service to:

• send spam, unsolicited marketing, or messages that violate platform rules;
• publish or transmit illegal, defamatory, discriminatory, or harmful content;
• impersonate any person or entity or misrepresent your identity;
• attempt to gain unauthorised access to the Service, our systems, or other accounts;
• reverse engineer, scrape, or resell the Service except as permitted by these Terms.

8. Intellectual property

We own the Site, the Service, and our branding, software, and content. You own the data you provide to us and the content generated on your channels in the course of using the Service, subject to the licences you grant us to operate the Service. You may not copy, modify, or redistribute our materials without permission.

9. Confidentiality

We will keep confidential any non-public business information you share with us, and will only use it to provide the Service. This does not apply to information that is public, independently developed, or required to be disclosed by law.

10. Disclaimers

The Site and Service are provided “as is” and “as available”. To the maximum extent permitted by law, we make no warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI responses will always be accurate.

11. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or revenue, arising out of or relating to your use of the Site or Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amounts you have paid us in the three months preceding the claim. This limitation does not apply where prohibited by law.

12. Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms.

13. Termination

You may stop using the Service at any time and cancel your plan as described in your account. We may suspend or terminate your access if you breach these Terms, fail to pay, or if continued provision would violate law. On termination, you may export your data within a reasonable window, after which we will delete or anonymise it in line with our Privacy Policy.

14. Changes to these Terms

We may update these Terms from time to time. We will update the “Last updated” date at the top of this page and notify you of material changes where we have your contact details. Continued use of the Site or Service after changes take effect means you accept the revised Terms.

15. Governing law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law rules. Disputes that cannot be resolved amicably will be subject to the exclusive jurisdiction of the courts of Lagos, Nigeria, unless applicable law requires otherwise.
